	Please accept the user policy. ARKRAY GLOBAL SERVICE SYSTEM Terms and Conditions Article 1. (Purpose) The Terms and Conditions set forth herein shall apply to Members’ (as defined hereafter) use of services provided by ARKRAY Infinity, Inc.(“Company”) via internet-based web site ("Site") (such services are referred to as the "Service"). Members shall be deemed to have agreed to the Terms and Conditions in the entirety at the time of registration provided in Article 3 Paragraph 1. Article 2. (Modifications to Terms and Conditions) 1. Company may, from time to time, change the Terms and Conditions without the approval of Members, to whom the modified Terms and Conditions shall be applied. 2. The modified Terms and Conditions shall become valid at the time of posting by Company on the Site. Article 3. (Membership) 1. “Member(s)” means an individual (or individuals, the same shall apply herein) who fulfils any of the following conditions, and applies to the registration which is approved by Company, and then receives user ID. - A service personnel, sales personnel, academic specialist, application specialist, or distribution personnel who is either employed by the affiliates of ARKRAY, Inc. (collectively, “ARKRAY”) or employed by or owns the distributor that is allowed to sell the ARKRAY products under the distribution agreement. 2. Members shall not transfer its membership to others without Company’s approval. Article 4. (Membership Suspension and Termination) Company may suspend or terminate membership without notice to Members due to reasons such as Members’ breach of the Terms and Conditions. Article 5. (Withdrawal) Members may freely withdraw at any time by notifying Company. Article 6. (User ID and Password Control) 1. Members shall not share, rent, transfer, or otherwise dispose of the password. 2. Members shall control password at their own responsibility. Company shall not be held responsible for any loss or damage caused by unauthorized use of password. 3. If the password became known to a third party or a third party is suspected to be abusing the password, Members shall promptly notify Company as such and follow Company’s instructions. Article 7. (Registration and Control of Personal Information) 1. Members shall not make false declaration upon member registration. Members must notify Company in case any information provided to Company is changed. 2. Company will handle Members' personal information in accordance with Company’s privacy policy. 3. The Company stores members’ personal information in Japan. Article 8. (Service Suspension and Termination) Company may terminate the Service without prior notice to Members: - in case the system for the Service suffers trouble, loss, or damage; - in case of fire or power outage; or - in case Company deems it necessary. Article 9. (Change or Deletion of Site and Service) 1. Company may change Terms and Conditions, Site contents, Service contents, or conditions for Service without prior notice to Members. Company may also suspend or terminate Service at its own discretion. 2. Company shall not be held responsible for any losses caused by the cases of Article 8 or Paragraph 1 of Article 9. Article 10. (Right and Use of Site and Service) 1. Company and ARKRAY or a third party licensor reserve ownership of copyright and intellectual property of Site and Service. 2. Members shall use Site and Service only for the purpose of sales, maintenance, and repair service of the ARKRAY products. Article 11. (Prohibition) Members are prohibited to engage in the following acts when using the Site. 1. Installation of computer virus or software which hampers Site. 2. Addition of Site link without Company’s permission. 3. Rewriting Site data without Company’s permission. 4. Act to infringe copyright, patent, or trademark owned by Company or third party. Article 12. (Disclaimer) 1. Company shall not be held responsible for any loss caused by Members’ non-compliance to Terms and Conditions. 2. Company will make its best effort to provide Service based on the technology available at the time. However, Company does not guarantee the Service is available without any system failures. Company shall not be held responsibility for Members’ losses or damages caused by data communication line problem, computer problem, unauthorized access, and any other losses related to the use of the Service. Article 13. (Company’s Claim for Damages) Company may claim for compensation of damages caused by Members’ violation of the Terms and Conditions and any other willful misconduct and negligence. Article 14. (Governing Law and Arbitration) The Terms and Conditions shall be governed by the laws of Japan, and all disputes, controversies or differences which may arise between the parties hereto, out of or in relation to or in connection with the Terms and Conditions shall be finally settled by arbitration in Kyoto, Japan, in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association.
